    Welcome to BuildPredictIQ. These Terms of Service ("Terms") govern your access to and use of the BuildPredictIQ website, analytical risk engine, and related services (collectively, the "Services"). By accessing, browsing, or using our Services, whether directly or via the Google AI Marketplace, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

    1. Acceptance of Terms

    These Terms constitute a legally binding agreement between you, either individually or on behalf of the organisation you represent ("you" or "User"), and BuildPredictIQ ("we", "our", or "us"). By using the Services, you represent and warrant that you have the legal capacity to enter into this agreement and, if applicable, the authority to bind your organisation to these Terms.

    2. Description of Services

    BuildPredictIQ provides an analytical risk engine designed for the Australian construction industry. Our platform transforms raw project data—such as project names, budgets, timelines, types, and locations—into quantified, actionable risk matrices covering core vectors including geotechnical, financial, commercial, schedule, and compliance risks.

    The Services are intended for business-to-business (B2B) use by enterprise clients, including developers, builders, and project managers. BuildPredictIQ is distributed and may be accessed via the Google AI Marketplace.

    3. Account Registration and Access

    To access certain features of the Services, you may be required to request enterprise access or register for an account. When doing so, you must provide accurate, current, and complete information, including your full name, organisation, and work email address.

    You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security. BuildPredictIQ will not be liable for any loss or damage arising from your failure to comply with this security obligation.

    4. Use of the Services

    4.1 Permitted Use

    Subject to your compliance with these Terms, BuildPredictIQ grants you a limited, non-exclusive, non-transferable, and revocable licence to access and use the Services for your internal business purposes related to construction risk analysis.

    4.2 Prohibited Conduct

    When using the Services, you agree not to:

    • Use the Services for any unlawful, fraudulent, or malicious purpose.
    • Attempt to gain unauthorised access to our systems, networks, or the accounts of other users.
    • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the BuildPredictIQ engine.
    • Interfere with or disrupt the operation of the Services or the servers and networks connected to them.
    • Transmit any viruses, malware, or other harmful code.
    • Use the Services to generate risk assessments for illegal activities or projects that violate local, state, or federal laws.
    • Resell, sublicense, or commercially exploit the Services without our express written consent.

    5. Data and Content

    5.1 User Data

    You retain all rights, title, and interest in the project data and other information you submit to the Services ("User Data"). By submitting User Data, you grant BuildPredictIQ a worldwide, royalty-free, non-exclusive licence to use, process, and store the data solely for the purpose of providing and improving the Services.

    You represent and warrant that you have all necessary rights and permissions to submit the User Data and that its use by BuildPredictIQ will not infringe upon the intellectual property rights or privacy rights of any third party.

    5.2 Aggregated and Anonymised Data

    BuildPredictIQ may aggregate and anonymise User Data to improve our predictive models, develop new features, and generate industry insights. This aggregated data will not identify you or your specific projects and may be used and disclosed by BuildPredictIQ for any lawful purpose.

    6. Intellectual Property Rights

    All content, features, and functionality of the Services, including but not limited to the BuildPredictIQ engine, risk matrices, software, text, graphics, logos, and design elements, are the exclusive property of BuildPredictIQ or its licensors and are protected by Australian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

    These Terms do not grant you any rights to use our trademarks, logos, or brand names without our prior written consent.

    7. Disclaimers and Limitations of Liability

    7.1 No Professional Advice

    The risk matrices, assessments, and insights generated by BuildPredictIQ are for informational and analytical purposes only. They do not constitute professional engineering, financial, legal, or construction advice. BuildPredictIQ provides probabilistic analytical outputs generated through algorithmic modelling. These outputs are not guarantees, forecasts, or assurances of project outcomes.

    The Services do not replace professional advice from engineers, quantity surveyors, construction consultants, financial advisors, or legal professionals. Users are solely responsible for any decisions made based on the outputs of the Services.

    7.2 "As Is" Basis

    The Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

    7.3 Limitation of Liability

    To the maximum extent permitted by applicable law, in no event shall BuildPredictIQ, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; or (c) unauthorised access, use, or alteration of your transmissions or content.

    Our total liability for any claims under these Terms, including for any implied warranties, is limited to the amount you paid us to use the Services (or, if we choose, to supplying you the Services again).

    To the fullest extent permitted by law, BuildPredictIQ will not be liable for any construction cost overruns, delays, contractual disputes, financing losses, or project failures arising from reliance on the Services.

    8. Indemnification

    You agree to defend, indemnify, and hold harmless BuildPredictIQ, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your User Data caused damage to a third party.

    9. Third-Party Integrations

    Our Services are integrated with and distributed via the Google AI Marketplace. Your use of the Services through this platform may be subject to additional terms and conditions imposed by Google. BuildPredictIQ is not responsible for the availability, performance, or privacy practices of the Google AI Marketplace or any other third-party services.

    10. Modifications to the Terms

    We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

    11. Governing Law and Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of New South Wales, Australia.
